HAYU FANFEST – TICKETHOLDER TERMS AND CONDITIONS

 

IMPORTANT INFORMATION  

 

Everything contained in these T&Cs is important and should be read by you, but we would like to draw your attention in particular to the following Sections. It is important that you read the Sections themselves in full and not rely solely on the short summaries below.

 

●    By purchasing a Ticket to the Event (as those terms are defined in Sections 3.1 and 4.2 below) you are entering into a legally binding contract with us. Who "we" and “you” are, and what these T&Cs do, are explained further in Sections 1 and 2 below.
●    The Event is strictly for over-18s and you may be asked to provide ID to prove this. If you cannot do so to our (or the Event staff’s) reasonable satisfaction, you will be prevented from entering (or ejected from) the Event venue. There are also other important details about the Event that you should understand before purchasing a Ticket, for example that the Event may contain discussions of adult material and/or other content, and that we are entitled to film/photograph the Event (including you, as an Event attendee) and to exploit the resulting photography/footage (including, potentially, your name, image, likeness and voice) worldwide in our discretion. This is explained further in Section 3 below. 
●    When you purchase a Ticket, you will be making certain warranties (i.e., promises) to us and on which we’re entitled to rely. These are set out in Section 4 below.
●    We hope it won’t happen, but it’s possible that the Event may be postponed or cancelled so it’s important that you understand what will happen in those circumstances – we explain this further in Section 5 below.
●    There are certain things that you may not do in connection with these T&Cs, your Ticket, and the Event. If you do any of these things, or you otherwise breach these T&Cs, we will be entitled to end your rights under these T&Cs (including by preventing your access to, or ejecting you from, the Event) and you may be required to compensate us for any costs, losses, damages and/or expenses we have suffered as a result of your breach. This is explained further in Section 7 below.
●    When you purchase a Ticket to attend the Event, it’s important that you understand what we are, and what we are not, responsible for. We explain this further in Section 9 below.

 

1.    THESE TERMS AND CONDITIONS 

 

1.1.    By purchasing a Ticket to the Event via Eventbrite, you agree to be bound by the following terms and conditions (“T&Cs”), which form a binding contract between you and us. If you do not agree to these T&Cs, you should not purchase a Ticket and/or attend the Event.

1.2.    References to “Ticketholder”, "you" or "your" are references to any individual who has purchased a Ticket via www.eventbrite.co.uk (“Eventbrite”) and/or attends the Event. Additionally, if you have purchased a Ticket and/or attend the Event on behalf of an entity, you agree to these T&Cs on behalf of that entity as well as on your own behalf personally, and you represent that you have the authority to do so and to bind that entity to these T&Cs. In such circumstances, references to “Ticketholder”, "you" and "your" will refer to that entity in addition to yourself.

1.3.    You should keep a copy of these T&Cs for your future reference. We will not file a copy of these T&Cs in respect of our agreement with you.

2.    GENERAL INFORMATION ABOUT US / GETTING IN TOUCH

2.1.    “NBCU” or “we” or “us” or “our”: means Universal Pictures Subscription Television Limited, a company registered in England and Wales with company number 05942255 and whose registered address is 1 Central St. Giles, St. Giles High Street, London WC2H 8NU. Our VAT number is GB 440 6274 67.

2.2.    “Hayu” means the OTT SVOD service operated by NBCU and which is regulated by the UK Office of Communications (Ofcom) under the Communications Act 2003 (as amended).

3.    EVENT DETAILS

3.1.    Hayu FanFest is a Hayu superfan and media event scheduled to take place at Magazine London, 11 Ordnance Crescent, London SE10 0JH on Saturday 26 October 2024 (“Event”). 

3.2.    The Event is an 18+ event and proof of identity and age acceptable to us and/or the staff at the Event must be provided upon request. Acceptable ID includes a card bearing the PASS hologram, a photographic driving licence, or a passport.  Photos / photocopies of ID will not be accepted.

3.3.    If we discover that you have purchased a Ticket and you are not aged 18 years or over or you refuse or are unable to provide acceptable ID on request, then you will be denied access to the Event (or, if you have already entered the Event premises, required to leave the Event). 

3.4.    Alcohol may be available at the Event and we will be operating a Challenge 25 policy for relevant sales. Challenge 25 is a retailing strategy that encourages anyone who is over 18 but looks under 25 to carry acceptable ID if they wish to buy alcohol, and requires that every person buying alcohol, who looks under the age of 25, is challenged to produce acceptable ID. 

3.5.    The Event may be filmed and photographed by NBCU and/or its affiliates. By attending the Event, you agree that NBCU and/or its affiliates has the right to record and photograph you, as an attendee at the Event, and by attending the Event you grant NBCU the right to use your name, image, likeness and voice in marketing or other content, in any and all media now known and later devised, worldwide, in perpetuity, including in advertisements and promotions. 

3.6.    You understand that the Event may contain discussions of adult material and/or other content you may consider offensive or otherwise objectionable. We accept no liability to you or any third party for the content of the Event which you may find offensive or objectionable.

3.7.    You acknowledge and agree that you are prohibited from using any recordings or photographs from the Event for commercial purposes.

4.    TICKET PURCHASE VIA EVENTBRITE

4.1.    The fee payable for Tickets is as set out on the Hayu FanFest Eventbrite webpage (“Event Webpage”) at the time of purchase (“Fee”). The Fee will be payable in full by you to NBCU (via the Event Webpage) and the payment shall be debited on the date of your purchase from your bank account or charged to your credit card using the account details you provided via the Event Webpage. 

4.2.    In consideration for and subject to your full payment of the Fee via the Event Webpage, Eventbrite, on behalf of NBCU, shall provide you with the ticket(s) which provide the relevant number of Ticketholders with, (i) entry to the Event and (ii) one food and drinks voucher per Ticketholder, to be redeemed at the Event venue (each a “Ticket”).

4.3.    Each Ticket is only valid for entry access for 1 (one) Ticketholder.  

4.4.    By purchasing a Ticket, you warrant (i.e., promise) and represent that:

•    you are aged 18 years or over and are fully able and competent to enter into these T&Cs; 

•    you agree, on your own behalf and (if you have purchased a Ticket on behalf of an entity) on that entity’s behalf, to fully comply with these T&Cs;

•    you have read and understood our Privacy Policy;

•    all information and details provided by you to us and/or Eventbrite are true, accurate and up to date in all respects and at all times. You can update or correct your personal details at any time by amending your account details on Eventbrite; and

4.4.1.    you will comply with all restrictions relating to the Event as set out in these T&Cs.

4.5.    By purchasing the Ticket(s) via the Event Webpage, you will have also agreed to Eventbrite’s terms of use and privacy policy (“Eventbrite’s Terms”). Eventbrite’s Terms apply to you in addition to these T&Cs. To the extent there is any inconsistency between these T&Cs and Eventbrite’s Terms, these T&Cs will prevail.

4.6.    All Fees include VAT or other sales taxes, if applicable. Your credit card processor or company may impose handling charges (as provided for in their terms of use).

4.7.    We will make every reasonable effort to ensure that the Fee appears correctly on the Event Webpage, however we will not be obliged to honour Ticket prices that are the result of obvious errors. In the unlikely event that there is a pricing error in respect of one or more Tickets that you have purchased, we will contact you and offer you the opportunity to keep the Ticket/s at the correct price (which, if higher, will require you to pay the difference) or to cancel the Ticket/s and receive a refund all sums paid by you for such Ticket/s. 

5.    EVENT POSTPONEMENT / CANCELLATION AND REFUND POLICY

5.1.    Save as set out in Section 5.2 below, Tickets are non-refundable and non-transferrable.

5.2.    In the unlikely event that:

•    the Event is cancelled; or

•    the Event is rescheduled and you are unable to attend the new date of the Event,

we will refund you the Fee for all Ticket/s you have purchased. Note that you will not be entitled to a refund for any costs for travel or accommodation relating to the cancelled or rescheduled Event.  

5.3.    We endeavour to respond to refund requests within 5 (five) business days but we cannot guarantee this. 

5.4.    Except for our obligations set out above, you acknowledge that we will not be liable to you in any way in respect of any postponement or cancellation of the Event.

6.    RIGHTS GRANTED AND RIGHTS RESERVED

6.1.    You acknowledge and agree that the Event and any and all Event branding, content, merchandise, animations, text, items, graphics, photographs, sounds, music, videos, interactive features, logos, icons, images, data and any other materials of whatever nature (together “Event Content”) are owned by or licensed to us.

6.2.    These T&Cs do not grant you any rights in relation to the Event Content or our intellectual property rights therein (including without limitation any copyright or trademarks) or the intellectual property of third parties.

7.    TERMINATING YOUR RIGHTS UNDER THESE T&Cs

7.1.    We may terminate the rights granted under these T&Cs and by your Ticket (and refuse admission and/or remove Ticketholder(s) from the Event) if you are found (or are reasonably suspected) by NBCU, Eventbrite, and/or our representatives to be: 

•    behaving in an anti-social, inappropriate or a threatening manner, 
•    engaging in harassing or offensive conduct, 
•    using vulgar or abusive language, 
•    carrying any dangerous or prohibited items, 
•    under the influence of drugs or alcohol, 
•    using an invalid or counterfeit Ticket, 
•    failing to comply with the reasonable directions or instructions of NBCU's, the Event venue’s, and/or Eventbrite’s representatives, 
•    failing to adhere to required security searches, 
•    failing to comply with the safety and/or other rules or policies of the Event venue, or
•    otherwise in breach of these T&Cs. 

7.2.    Any such termination of your rights shall be immediate and without notice or refund. This shall not limit our right to take any other actions against you that we consider appropriate to defend our rights or those of any other person.

8.    LINKS TO AND FROM OTHER WEBSITES
We may provide links to other websites from time to time (via advertising or otherwise). You acknowledge that these links are provided for your ease of reference and convenience only. We do not control such third-party websites and are not responsible for their contents. Our inclusion of links does not imply any endorsement of the material contained in such websites or any association with their operators. You acknowledge that we will not be party to any transaction or contract with a third party that you may enter into via such websites and we shall not be liable to you in respect of any loss or damage which you may suffer by using those websites. You agree that you will not involve us in any dispute between you and the third party.

9.    OUR LEGAL OBLIGATIONS AND LIMITS ON LIABILITY; YOUR OBLIGATION TO COMPENSATE US

9.1.    Nothing in these T&Cs limits or excludes (or seeks to limit or exclude) our liability for death or personal injury caused by our negligence or that of our employees or agents, for fraud or fraudulent misrepresentation by us or our employees or agents, or for any other liability which cannot be limited or excluded by law including (if applicable) for breach by us of your statutory rights as a consumer (for more information about your statutory rights you can contact your local Citizens Advice Bureau, Trading Standards Office or Consumer Protection Office.)

9.2.    If we breach these T&Cs, we shall only be liable for loss or damage which is a reasonably foreseeable consequence of such a breach. Loss or damage is "foreseeable" if it is obvious that will happen, or if (at the time you agreed to these T&Cs) you and we knew it might happen.

9.3.    Subject to Section 9.1 above, we will not be liable to you or any third party for any claims, losses or damage incurred by you (or such third party) which results from or in connection with:

•    your negligence;
•    your (or another Ticketholder’s) attendance at, or inability to attend, the Event;
•    your breach of these T&Cs;
•    the acts or omissions of any third party including Eventbrite or associated payment platforms;
•    our cancellation or postponement of the Event (save as set out in Section 5 above);
•    anything which prevents us from (or delays us in) fulfilling our obligations under these T&Cs due to a reason beyond our reasonable control including, without limitation, fire, flood, storm, riot, civil disturbance, war, nuclear accident, terrorist activity, pandemic, and/or other so-called ‘acts of God’.

9.4.    Subject to Section 9.1 above, our total liability to you for any loss or damage arising out of or in connection with these T&Cs or your attendance at (or inability to attend) the Event shall be limited to the Fee paid for your Ticket. 

9.5.    You agree to compensate us for any costs, losses, settlements, damages and/or expenses sustained or incurred by us arising as a result of your breach of these T&Cs.

9.6.    If we take legal action against you for any breach of these T&Cs and a court makes an award in our favour, you will be responsible for all costs allowable by the courts.

10.    PRIVACY

10.1.    We will use the email address and name provided by you when you purchase the Ticket to keep you updated about the Event, our future events and Hayu. We will also ask you some questions when you purchase your Ticket and send out a survey to your email address after the Event. The survey and questions are optional, and any responses will be used to improve our future events. You can always opt-out of any communication from us by clicking the ‘Unsubscribe’ link at the bottom of each email or contact support@hayu.com For more information on how we process your personal data and who we share it with, please read our Privacy Policy.

10.2.    We will co-operate with any law enforcement authorities or court order requesting or directing us to disclose the identity of or to locate anyone for the prevention or detection of crime or the apprehension or prosecution of offenders. There may be other circumstances in which we may be required by law to disclose information about you.

11.    CHANGES TO THESE T&Cs
We may change these T&Cs from time to time to ensure that we remain compliant with applicable laws and regulations and/or to reflect any changes or improvements we may make to the Event or our business practices. We recommend that you review these T&Cs regularly so that you are aware of any changes. However, if we make any material changes to these T&Cs, in addition to posting the revised T&Cs on the Event Webpage, we will give you advance notice directly via the email address you have supplied to us via Eventbrite. Your attendance at the Event following any amendment of these T&Cs taking effect will signify your agreement to and acceptance of the amended T&Cs.

12.    SEVERANCE
If any part of these T&Cs is disallowed or found to be ineffective by any court or regulator, the other provisions of these T&Cs will continue to apply.

13.    TRANSFER

13.1.    These T&Cs are personal to you. You may not transfer your rights or obligations under these T&Cs to anyone else.

13.2.    We may transfer our rights or obligations or sub-contract our obligations under these T&Cs to another legal entity. You agree that we may do so without your consent provided that the Ticket(s) and access to the Event will be made available to you on the same terms, or terms that are no less advantageous to you, as set out in these T&Cs.

14.    THIRD PARTY RIGHTS
These T&Cs are not intended to give rights to anyone except you and us. This does not affect our right to transfer our right or obligations or sub-contract our obligations under these T&Cs to another legal entity under Section 13.2.

15.    NO WAIVER
If we do not insist immediately that you do anything you are required to do under these T&Cs, or if we delay in taking steps against you in respect of your breach of these T&Cs, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date. Also, if we take certain steps against you, this will not limit our right to take any other steps against you that we consider appropriate to defend our rights or those of any other person.

16.    NO PARTNERSHIP
These T&Cs will not be deemed to create a partnership, nor shall they constitute either party as the agent of the other party for any purpose.

17.    DISPUTES / GOVERNING LAW AND JURISDICTION
17.1.    We will do our best to resolve any disputes in relation to these T&Cs. Details of how to get in touch with us are set out at Section 2.3 above.  

17.2.    These T&Cs are governed by and will be construed in accordance with the laws of England and Wales and the courts of England and Wales shall have jurisdiction, subject to applicable conflict-of-law rules and provided that such choice of law and jurisdiction shall not override your right as a consumer (if applicable) to be protected by the mandatory consumer protections of your home country and to bring proceedings in your home courts.
